TERMS AND CONDITIONS
These Terms & Conditions (“Agreement”) apply to all video production services provided by Moondogs Productions Ltd, a company registered in England and Wales with its principal place of business at Unit 24, 30–38 Dock Street, Leeds LS10 1JF (“Moondogs”, “we”, “us”, or “our”), to any client (“Client”, “you”).
By making any payment towards an invoice issued by Moondogs, including deposits, the Client agrees to be bound by this Agreement.
1. SCOPE OF SERVICES
Moondogs Productions Ltd provides professional video production services including, but not limited to:
Concept development and creative planning
Pre-production coordination
Filming and audio recording
Post-production editing and motion graphics
Subcontracted services (e.g. drone operators, animators, camera assistants) as required
Creative consultation
All work will be delivered based on a project proposal, scope outlined in writing (including email), or ongoing retainer agreement. Moondogs is not obligated to provide services outside the agreed scope unless expressly agreed in writing.
2. BOOKINGS, DEPOSITS & CONFIRMATION
A non-refundable deposit (typically 20%, or as specified on the invoice) is required to confirm any booking.
No dates, time, or resources are secured until the deposit has been received.
In the event of cancellation by the Client for any reason, the deposit is forfeited. Moondogs may, at its sole discretion, allow the deposit to be transferred to a rescheduled date.
Moondogs reserves the right to refuse or reschedule work if Client delays exceed 14 calendar days without contact or progress.
3. PAYMENT TERMS
All invoices must be paid according to the terms stated (typically 30 days from invoice date, unless otherwise agreed).
Final deliverables will not be released until the full balance is paid.
Retainer invoices must be paid in full each month to access allocated hours.
Late payments are subject to a 15% weekly penalty fee from the due date until payment is received in full.
4. FEEDBACK, REVISIONS & CLIENT DELAYS
Clients are entitled to two rounds of revisions unless otherwise agreed.
Additional revisions are charged at £60/hour, billed in 15-minute increments.
If the Client fails to provide feedback within 14 calendar days of receiving draft content, Moondogs reserves the right to consider the project delivered, or resume editing only once hourly rates are agreed and paid in advance.
5. SUBCONTRACTORS & THIRD-PARTY SERVICES
Moondogs may engage independent subcontractors (e.g. drone operators, editors, voiceover artists) to assist in service delivery.
While every effort is made to work with qualified professionals, Moondogs is not liable for delays or errors caused by subcontractors beyond its control.
Drone work will only be provided by licensed and insured third-party operators, where separately agreed in writing.
6. OWNERSHIP & INTELLECTUAL PROPERTY
Moondogs retains full ownership and copyright of all raw footage, project files, and source materials unless a buyout has been expressly agreed in writing.
Upon full payment, the Client is granted a non-exclusive, royalty-free license to use the final delivered content for its intended use.
The Client is not permitted to edit, repurpose, sell, or sublicense the content without written permission.
Moondogs reserves the right to use any final delivered work for its own promotional use, including on websites, social media, and in showreels, unless the Client explicitly opts out in writing before production begins.
7. CLIENT RESPONSIBILITIES
The Client agrees to:
Provide all required materials, logos, access, and briefs within agreed timeframes
Secure and confirm all required permissions for filming on private or public property
Notify all relevant individuals, staff, or third parties that filming will take place
Ensure all music, logos, or third-party materials supplied to Moondogs are properly licensed and cleared for use
Moondogs accepts no liability for claims resulting from the Client’s failure to meet the above obligations.
8. DELIVERY & FORMATS
Final videos are delivered via digital download links (e.g. Google Drive, WeTransfer).
Formats (aspect ratios, resolution, codecs) will be agreed prior to delivery.
Moondogs is not responsible for long-term storage or backup of footage after final delivery. Archival may be available for an additional fee.
Physical media (USBs, hard drives) will only be provided upon prior written agreement and may incur extra costs.
9. RETAINERS & UNUSED HOURS
For Clients on a monthly retainer:
Each monthly fee includes a fixed allocation of hours for pre-agreed services.
Unused hours do not roll over to the following month.
Moondogs is not obliged to fulfil hours if time is not pre-booked by the Client.
Either party may terminate a retainer with at least 30 days’ written notice after any minimum contract period.
10. CANCELLATION & POSTPONEMENT
Deposits are non-refundable under all circumstances.
If the Client cancels within 7 days of a confirmed shoot date, 50% of the full quoted amount becomes payable.
If Moondogs cancels a project (excluding force majeure), any deposit will be refunded or applied to a rescheduled date.
11. LIABILITY & INDEMNITY
Moondogs Productions Ltd is not liable for:
Loss or damages arising from the Client’s use or misuse of content
Claims related to intellectual property where content was provided by the Client
Delays caused by weather, illness, third parties, or events beyond our reasonable control
Any consequences arising from the failure to obtain filming permissions or consent
The Client agrees to indemnify and hold harmless Moondogs Productions Ltd against all such claims.
12. CONFIDENTIALITY
Moondogs agrees not to disclose any confidential or proprietary information provided by the Client, except where required by law or with the Client’s written consent.
13. FORCE MAJEURE
Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to events outside its reasonable control, including but not limited to acts of God, equipment failure, fire, flood, pandemic, war, or government restriction.
14. DISPUTE RESOLUTION
Both parties agree to attempt to resolve any dispute in good faith through informal negotiation or third-party mediation before pursuing legal remedies. This Agreement shall be governed and construed in accordance with the laws of England and Wales.
15. ENTIRE AGREEMENT & AMENDMENTS
This Agreement, together with any invoice or proposal, constitutes the entire understanding between the parties.
No oral statements or prior communications shall override these terms.
Any amendment or variation must be made in writing and signed by both parties (including via email).
16. ACCEPTANCE OF TERMS
By paying any invoice in part or full, the Client confirms full acceptance of these Terms and Conditions, which shall apply to all current and future work unless otherwise agreed in writing.
